Junior Corporate Counsel Duties: Drafts, reviews, and negotiates broad range of commercial agreements with our channel partners and distributors involving hardware sales, software licenses, professional and managed services, Cloud services and other digital offerings including MSAs, subcontractor agreements, OEM agreements, and referral and rebate agreements. Establishes rapport and builds positive, trusted working relationships with business unit management and coworkers at all levels to ensure collaboration on proactive engagement. Problem-solves creatively and resourcefully with pragmatic orientation; balances strategic and tactical issues. Prepares responses to significant solicitations or RFPs balancing risk and opportunity to support business in winning deals. Provides interpretation of terms and conditions and makes practical and pragmatic recommendations based on risk analysis, ensuring adherence to company policies. Collaborates with and supports Senior Counsel with various Legal Department initiatives either as result of issues arising in business or as result of Legal Department objectives. Demonstrates and actively promotes an understanding and commitment to the mission of Logicalis through performing behaviors consistent with the organization's values. Maintains a working knowledge of applicable Federal, State, and Local laws and regulations as well as policies and procedures of Logicalis in order to ensure adherence in a manner that reflects honest, ethical and professional behaviors. Supports and conducts self in a manner consistent with customer service expectations.
Qualifications: Equivalent combination accepted. Bachelor's Degree in a related field. JD Degree. Qualified lawyer licensed to practice in United States with 2 years ? experience. Licensed to practice law and member in good standing of State Bar of state in which license is held. Prefer candidates with time at mid-to-large sized law firm. Experience reviewing, drafting, and negotiating wide variety of commercial contracts in technology sector with emphasis on software licensing, hardware sales, professional and managed services and cloud service agreements. Proficient use of Microsoft Office applications. Highly independent and organized with ability to manage significant number of active matters simultaneously. Strong written and verbal communication skills, including the ability to clearly and concisely articulate legal concepts to non-lawyers. Highest degree of personal and professional integrity and ethics.
