Corporate Counsel Responsibilities: Prepare, review and manage SEC filings, including periodic reporting, current reports on Form 8-K, proxy statements and other disclosures. Review and manage Section 16 filings. Research and evaluate corporate governance, legal compliance and policy issues; coordinate governance reviews. Prepare and review legal materials for our Board of Directors, Board committees, and senior management. Review external communications and evaluate relevant disclosure and compliance issues. Support corporate, securities and other projects led by the Deputy General Counsel. Support corporate development and M&A efforts, including coordinating due diligence review, negotiating early stage documents and managing outside counsel. Assist with subsidiary management and international / international expansion projects.
Qualifications: JD Degree from an accredited law school. Admitted and in good standing with at least one state Bar. 5+ years of relevant experience, including experience at a major law firm. Preferred Qualifications: Experience in-house for a technology company. Experience using Workiva/Wdesk platform. Comfortable managing competing priorities and deadlines and maintaining quality work product under pressure. Demonstrated interest in legal tech, legal ops and finding innovative ways to scale legal functions. Work efficiently with a client-service focus in a fast-paced, dynamic environment. Ability to maintain productive work relationships and work collaboratively with subject matter experts to research and resolve issues. Outstanding written and verbal communication skills.
