Staff Counsel, Corporate and Legal Affairs Responsibilities: Responsible for writing and analyzing contracts of various types. Will review and construct product and project proposals. Will design statements of work, review supplier agreements and negotiate any of these with resellers and customers. Will participate in product and project teams. Responsible for being proactive in identifying and addressing diverse legal issues facing the Divisions. Requirements: JD degree and license to practice law in the state of Texas. 3 5 years experience either in a law firm, or as in-house counsel. Experience drafting, structuring, analyzing, and negotiating a broad range of agreements including purchase and/or service agreements, non-disclosure agreements, software use license agreements, reseller agreements and supplier agreements. Ability to construct, review and edit product proposals, as well as compose responses to requests for quotations, statements of work, and proposals submitted by prospective customers. Provide guidance on questionnaires, audits and vendor profiles received from suppliers and customers. Ability to read, analyze and interpret legal documents, formal inquiries and notices. Knowledge of managing outside counsel. Provide input into the development of templates and standard forms. Intuitive understanding of technology, and ability to quickly research and understand new technical fields. Basic understanding of U.S. intellectual property laws. Analytical skills, with an ability to communicate business, legal and technical issues in a concise manner. Strong can-do attitude and results-driven personality; definite team player. Good verbal and written communication skills. Proficiency in the Microsoft suite of Office products, and specifically Office 365 applications.
