Senior Corporate Counsel, Commercial Transactions and M&A Duties: Act as a strategic business partner to the Chief Commercial Officer, the Presidents of the Research & Development and Manufacturing business units and the VPs of Sales, providing legal analysis, strategy and solutions for all API and DP business activities in a manner that balances risk mitigation with achievement of business goals and objectives. Draft, review, negotiate and drive to closing high-value, complex, long-term contracts with customers. Identify legal and business issues on customer contracts and devise and articulate creative and practical solutions. Advise on contract interpretation issues and customer disputes and collaborate with sales and operations groups on maintenance and performance of existing commercial arrangements. Work closely with business development, finance, tax, R&D, procurement, regulatory and quality groups and other key internal stakeholders in support of the API and Drug Product businesses. Support General Counsel and Senior Vice President, Corporate Development in all phases of M&A transactions and other strategic transactions from initial indications of interest through due diligence, negotiation and execution of definitive documentation and closing (as well as post-closing legal support). Reviewing and negotiating definitive documentation; conducting, overseeing and coordinating due diligence (across internal cross-functional teams and outside counsel); reviewing deal presentations and other related materials; supervising outside counsel and managing outside counsel costs; and delivering consistent, strategic, risk-weighted, business-focused legal counsel. Provide support to senior attorneys on a variety of matters, including departmental strategy and organization, trainings and other legal and cross-functional initiatives. Mentor and train junior attorneys and non-attorney specialists in the legal group.

Qualifications: JD Degree from an accredited law school. Licensed to practice in a U.S. jurisdiction, preferably in NY. 7+ years of relevant experience at a leading law firm and/or in-house legal department, preferably in the life sciences industry. Substantial experience in commercial and transactional drafting and advising, serving as the legal lead in complex, contested negotiations and steering cross-functional groups, including through unique, urgent situations where little precedent and guidance exists. Significant experience managing M&A and other similar strategic transactions in the biopharma or life-sciences industry. Exceptional reasoning skills and a creative, pragmatic, solution-oriented and cross-functional problem-solving approach. Excellent oral and written communication and presentation skills. Positive and approachable demeanor with strong interpersonal, communication and collaboration skills with internal and external interactions at all levels. Demonstrated resourcefulness and drive to address unfamiliar legal and business problems quickly, efficiently and effectively. Excellent organizational skills, attention to detail and the ability to set and manage multiple, constantly-changing, sometimes conflicting priorities in a dynamic, fast-based environment.
