Associate General Counsel, Commercial & Corporate

Associate General Counsel, Commercial & Corporate Responsibilities: Provide legal support on commercial transactions to business units (contracting, vendor/customer disputes). Support the Global General Counsel on all corporate matters. Prepare, review and negotiate various contracts involving service purchases, vendor relationships, licenses, technology development, and leases, financing and credit agreements among others. Provide consultation and legal advice with respect to strategic initiatives, technology projects, intellectual property, dispute resolution, corporate policies and procedures, and administration in potentially sensitive and highly complex matters. Manage outside counsel on commercial matters. Ensure compliance on anti-corruption, data protection and data privacy matters. Prepare forms of contracts, terms and conditions and other legal documentation. Recommend practical courses of action to achieve client goals within scope of what is legally permissible. Perform comprehensive research and analysis of reported cases, state and federal statutes, regulations and other legal materials. Maintain current knowledge of legal issues and developments in the law. Assist with other responsibilities as needed. Qualifications: JD Degree from top tier law school. Active State Bar certification and membership as an attorney qualified to practice law in the State of Michigan. 7+ years of experience at a top law firm, exceptional academic credentials, and in-house experience preferred. Experience reviewing, revising, drafting, negotiating and advising on sophisticated and complex transactions, such as services agreements, sales agreements, marketing agreements, distribution agreements, professional services agreements, technology agreements, partner and vendor agreements. Experience providing direct legal, contract and compliance support to executive management, global business units and sales/marketing teams. Experience and comfort working with and advising business clients directly. Experience in mergers and acquisition preferred. Experience with a Board of Directors preferred.
