VP, Chief Corporate Counsel Duties: As a key member of the Legal and Compliance Department Senior Leadership team, is involved in setting strategic direction for the overall department. Manages the senior counsel responsible for SEC/Governance team. Manages the senior counsel responsible for Corporate Contracting/Corporate Support team. Oversees legal support for business development transactions including mergers, acquisitions, divestitures, investments, joint ventures and similar transactions. Manages the senior counsel responsible for corporate international operations and maintenance of the company's global subsidiary network. Provides legal advice and transactional support to corporate functions, including Finance, Accounting, Tax, Investor Relations, Corporate Communications, Facilities, Information Technology and Treasury. Provides guidance to the Board of Directors on relevant legal matters. Leads a team of 20+ lawyers and legal professionals. Qualifications: JD Degree required. 12+ years of experience in Corporate/Business law at a top law firm or in-house; in-house experience preferred. Excellent verbal, written communication and presentation skills, coupled with the presence and self-confidence to interface with the key constituents including Senior Management and the Board of Directors. A strong team leader with a proven track record of team leadership. Strong problem-solving and creative skills and the ability to exercise sound judgment and make decisions based on accurate and timely analyses. Fosters a diverse and inclusive workplace that enables all participants to contribute to their full potential in pursuit of organizational objectives. Recognized as a strong business partner able to effectively manage risk. Keeps the organization's vision and values at the forefront of decision making and action. Demonstrates effective change leadership. Builds effective strategic relationships with internal and external stakeholders. Utilizes technical/professional knowledge and skills to establish, interpret and execute company policies. Makes and executes operational decisions with a strategic perspective. Effectively directs and controls activities and associated budget. Self-awareness and irreproachable integrity.
