Corporate Counsel Duties: Drafting, reviewing, and negotiating a broad range of commercial, revenue-generating agreements, including SaaS, software, channel, and other service agreements. Provision of legal analyses of applicable laws, regulations and industry guidance that impact customer license and services agreements and assistance of the team in enhancing its capabilities and services efficacy through legal guidance and implementation of best practices. Assistance in the development and implementation of various legal templates, forms, communications and operational systems to improve the delivery and scalability of legal resources to a worldwide, distributed client base by working collaboratively with other legal team members and the sales organization. Proactive communication of issues back to leadership to assist in driving good business, legal and operational processes, and practices throughout the organization; drafting and implementing related policies; traveling as requested.

Qualifications: JD Degree from a top law school. Member in good standing of the applicable State Bar. Significant commercial negotiating and contract drafting experience. Exceptional negotiation skills and diplomacy, including ability to build consensus, soft  skills to encourage, motivate and influence at all levels of the organization and those of our customers and partners. Strong drafting skills with keen attention to detail and the ability to improve our forms and work using customer or partner paper. Creative, collaborative work style and excellent social abilities. Ability to work in a fast paced, collaborative, and dynamic team environment. Outstanding writing and oral communication skills. Effective communication in person, in groups, over email and in more formal documentation. Highest degree of personal and professional integrity and ethics. Personal interests outside of work and the ability to have fun. Preferred Qualifications: 2 - 5 years of relevant legal experience. Previous law firm (AMLAW 200 or equivalent) and in-house counsel experience preferred, especially in business transactions, litigation, intellectual property and/or licensing. Experience with commercial technology transactions (SaaS and Software) with Fortune 1000 companies and Channel (Reseller, VAR, MSP, OEM, SI, etc.) programs and relationships. Experience partnering (and developing rapport) with sales teams in a fast-paced environment that requires sound judgment, excellent counseling skills and ability to prioritize matters. Experience handling data privacy and security issues.
