Corporate Counsel

Corporate Counsel Responsibilities: Partner closely with the company's Business Affairs and Business Development teams to structure and implement strategic partnerships and rights acquisitions. Draft and negotiate a variety of agreements, including those for complex commercial relationships and transactions, with a focus on licensing agreements. Serve as a trusted business partner and creative problem-solver. Provide strong transactional legal advice to the M&A team and senior business leaders across the organization, including engagement in proactive issue-spotting, risk assessment, and problem-solving. Interpret and advise with respect to rights and obligations under Fanatics' agreements. Manage/oversee the handling of any disputes, conflicts, and/or litigation that may arise from time to time with respect to the Company's partnerships and commercial agreements. Collaborate with other members of the Global Legal Team, and oversee/leverage outside counsel, as needed.

Qualifications: JD from an ABA-accredited law school and license to practice in at least one US jurisdiction required. 6-10 years of experience working on a wide range of sophisticated commercial transactions, including intellectual property licensing, technology, and marketing agreements. A combination of prior law firm and in-house experience is preferred. Prior M&A experience is strongly preferred. Highly effective communicator at all levels who easily develops relationships with key internal and external stakeholders. Confidence in experience and ability, while also being flexible with a growth mindset. Strong business acumen and savvy, good common sense and sound judgment, with a high degree of comfort making decisions, particularly in time-sensitive, critical situations. Creative thinker who can initiate and develop alternative approaches to complex issues. Demonstrated the ability to Risk-optimize, work on complex negotiations, easily transition between working independently/autonomously and playing on a team. Effectively prioritize and balance competing objectives while providing high-quality work products in a timely manner to meet deadlines in a fast-paced environment. Take ownership of projects/matters and have a wide variety of responsibilities. Conduct business with integrity. Lead with a strong work ethic.
