Associate Corporate Counsel Duties: Provide contract development, administration and management support for a variety of contracts including Company templates and vendor contracts. Manage and respond to high volume of daily contract inquires. Assist clients with contract interpretation, compliance and resolution of issues. Act as liaison between Legal Department and clients and external contacts, including outside counsel. Efficiently manage contract management system. Provide advertising and intellectual property review of Company and customer materials. Review advertising and promotional materials to ensure compliance with legal requirements and Company policies. Prepare sweepstakes and contest rules offered on a variety of social media platforms. Review customer generated materials to ensure compliance with copyright and trademark laws. Create training and best practices for delivery of advertising and intellectual property legal review. Enhance protection of Company's Intellectual Property. Assist in protection of Company's trademarks, copyrights and patents. Assist in asserting Company's rights against potential infringers. Provide Litigation Support. Provide litigation support, including document and fact gathering, review and preparation of discovery materials and coordination of work through outside counsel. Respond to third party legal and regulatory processes, including subpoenas, summons and preservation of documents. Coordinate and perform legal research using internal and external resources. Undertake legal research and other ad hoc projects.
Qualifications: JD Degree with strong academic credentials. Current attorney license in good standing in Minnesota. 2-5 years of varied corporate law experience. Unquestioned integrity, credibility and judgment. Excellent drafting and analytical skills. Driven and self-motivated with a strong desire for customer service and excellence. Demonstrated ability to work efficiently, prioritize workflow, meet deadlines, and manage multi-faceted projects in a dynamic, fast-paced environment. Strong interpersonal skills and the ability to communicate effectively with business leaders and other professionals and colleagues at all levels of an organization. Excellent legal judgment and pragmatic problem-solving business acumen. A team player and culture builder. A business partner, enabler and strategist. Ability to work collaboratively and as a member of a team while empowering business leaders and colleagues and emphasizing accountability. Preferred: Current attorney license in good standing in Minnesota. Education or corporate law experience in an in-house setting. Familiarity with FERPA and education law. This role provides legal and compliance support to the Legal Department and throughout Jostens in a variety of areas, including corporate, compliance, contracts, intellectual property, and litigation. This is a corporate generalist position supporting Jostens business teams on a variety of day-to-day legal matters, including contract drafting and review, contract management, corporate compliance, litigation assistance, intellectual property management, and research and special projects.
