Corporate Attorney Responsibilities: Drafting, reviewing, and negotiating a wide range of commercial agreements across multiple US and International business units and operating companies, including sales and supply, non-disclosure, and distribution agreements. Developing and maintain internal policies and procedures for contract standards, maintenance, tracking, and approvals. Providing timely, practical, business-oriented legal/commercial contract advice directly to business teams. Applying innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk, and foster long-term customer and supplier relationships. Collaborating with and facilitating cross-team decision-making among the legal, finance, and business teams. Providing advice and counsel with respect to U.S. Export Controls, and government contract flow-downs (FAR and DFARS). Driving a strong culture of compliance by providing legal oversight and directions to management.
Qualifications: Juris Doctor (JD) degree from an accredited law school. Licensed in New York or able to become licensed in New York within one-year. Must have 2-5 years of commercial law working experience either at a law firm or in-house legal department for a large corporation. 2-5 years of working experience with commercial agreements in the manufacturing industry, with experience in government contracts preferred. Knowledge of FARS, DFARS and other government contracting requirements and standards, as well as US Export Controls and regulations, is essential.
