Contracts Manager Ref: R-2021-08-132 Responsibilities: Manage the rights clearances process from the various stages of development, production, and post-production for the company. Work closely with internal business units to provide guidance and advice on rights clearances. Review custom content and marketing campaign clearance requests to confirm the required disclosures. Initiate and manage internal trademark searches and work closely with other legal professionals and outside counsel to secure trademark rights. Responsible for reviewing and negotiating agreements with advertisers, agencies and third parties in support of brand/content creative initiatives, while driving such contracts to close in a timely, pro-business manner. Collaborate with internal groups, such as brand/content creative, marketing, social media, sales operations, revenue operations, and finance to drive continuous improvement, constructive problem solving and consensus. Establish appropriate policies and procedures to support the custom content sales and revenue generating functions. Train internal teams on company best practices related to clearances and marketing initiatives. Coordinate and perform various administrative and legal operations tasks in connection with this position. Support any combination of transactional and other needs that flow through the legal department: Sales and Commercial Contracts, Artists and Events, Social Media, Marketing, Vendor Management, Contracts Management, Process and Workflow Improvement.

Qualifications: 10+ years direct experience with at least 5 years of in-house legal department experience, providing legal support to marketing, content and transactional teams. Bachelor's degree. Certificate from an accredited paralegal program preferred. Experience managing rights and clearances processes from pre-production to post-production stages. Experience conducting internal trademark searches and working with outside counsel on securing trademarks. Experience reviewing custom content in advertising, social media influencer and consumer marketing campaigns for issues related to endorsement or sponsorship disclosures, product claim, right of publicity/privacy, media usage rights and third party IP clearances. Experience with revenue-generating and customer marketing business initiatives. Demonstrated ability to manage complex legal projects and drive them to close. Demonstrated ability to train cross-departmental teams on legal best practices. Ability to work with various legal department subject matter experts to get the job done is a must. Detailed, hands on experience with IAB/AAAA Ad Unit Guidelines and other related contracts is a plus. Experience reviewing alcohol advertising issues, sweepstakes, contests, and giveaway rules is a plus. Ability to negotiate with strong influencing skills, experience developing better workflow strategies for our high volume of advertising and campaign clearance requests. Ability to maintain strong working relationships with demanding internal and external clients. A practical and proactive problem-solver who possesses strong business acumen, is detail-oriented, and is confident, mature and calm under fire. Microsoft Office, document comparison applications, document management systems and communication and collaboration applications. Thorough knowledge of MS-Office Suite (Word, Excel, and PowerPoint).
