Senior Director and Counsel, Corporate & Securities Responsibilities: Provide overall legal support for current and periodic reports to the SEC, including Forms 20-F and 6-K. Advise on and own policies and procedures relating to securities law compliance and disclosure matters, including the administration of the company's Insider Trading Policy. Advise and support corporate governance policies and matters, including reviewing/preparing Board and Committee agendas and materials, ensuring compliance with policies and charter documents, and drafting minutes. Partner with the Investor Relations team on Regulation FD compliance oversight, investor engagement activities, and company's Annual Meeting. Work closely with our internal audit, SOX, and compliance teams and advise on public company compliance matters. Perform SEC, NASDAQ and general corporate governance and disclosure research and analysis and provide support to internal clients, including Investor Relations, Finance, Treasury and Communications. Draft and maintain shareholder and board resolutions, consents, agendas, stock certificates, secretary's certificates and other records. Participate in Corporate Development, M&A activities and other strategic corporate transactions, including data room preparation, due diligence, drafting and negotiating deal documentation, and coordinating deal closings. Provide legal support for matters related to post-M&A integrations. Assist with financing matters and legal support of the treasury function. Manage a team of 1-2 attorneys/professionals. Perform all activities in a safe and responsible manner and support all Environmental, Health, Safety & Security requirements and programs.

Qualifications: JD Degree and admitted to a state Bar (preferably NY or CA) and are qualified to work in-house in New York. 15+ years of transactional/corporate experience. Strong financial acumen and business judgment. In-depth knowledge of corporate and securities law (particularly SEC/NASDAQ rules and regulations). Management and leadership experience. Proven success working in cross functional and geographically diverse teams and utilizing company resources effectively.
