Senior Corporate and Securities Attorney The candidate will assist in drafting and filing SEC and NYSE filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements, Section 16 filings, and other regulatory filings. Draft and maintain governance-related policies and procedures. Draft board and committee materials, including minutes of Board and committee meetings, resolutions, consents, and other board-related items. Assist with the annual meeting of shareholders and maintain a corporate calendar. Assist with stock administration matters and awards under the Company's long-term incentive plan. Should have a Law degree from an accredited law school with competitive grades. Must have 3-6 years of experience at a law firm and/or company with a focus on securities and compliance matters. Have strong knowledge of SEC and NYSE rules and regulations as well as Texas corporate law.
