Corporate Counsel Duties: Provides guidance and support on a range of legal issues. Conducts reviews of company contracts. Researches and analyzes laws and regulations and represents the company in legal matters. Manages relationships with outside counsel. Reviews contracts for to include NDAs, MSAs, Agency Agreements, Vendor Agreements and VMIs. Reviews contracts for Crane Cartage to include Owner Operator Agreements, MSAs, NDAs and Vendor Agreements. Maintains Crane Companies Legal Organization Chart. Creates and maintains a legal library containing all documents including contracts, leases, corporate documents, officer information and tax information, and manages its security. Develops and maintains standard procedures for entity formation and compliance. Prepares Demand Letters for non-payment of accounts, file lawsuits for collection, and negotiates settlements. Assists Human Resources team with litigation matters and prepares and researches memos on HR legal and compliance issues. Establishes and manages relationships with external attorneys and stakeholders within the organization to ensure that the business is in a position to obtain expert opinion on specialist areas of the law as and when required. Manages and supervises direct reports. Other duties as assigned.
Qualifications: JD Degree, with Bar exam pass is required. 3+ years of practical legal experience, gained with a sizable company. Experience in transport, marine or logistics industry preferred. Professional certification may be required in some areas. Excellent verbal and written communication skills and excellent time management abilities. Extensive Knowledge of Government Regulations - maritime compliance law, including knowledge of FMC (Federal Maritime Commission); CPB (Customs and Border Protection); and ACI (Advance Commercial Information, i.e., Importer Security Filing, 24-Hour Rule, Shipper's Export Declaration/Automated Export System). Strong knowledge of contracting, negotiating, organization development/change management, budgeting, action planning and supervision are required for successful performance. Very strong conceptual, analytical, judgment and communication abilities are critical. Ability to effectively present information and respond to questions from groups of managers, employees and vendors.
