Corporate Counsel The candidate will review, draft, and facilitate outbound commercial agreements for a combined solution that includes Hardware, Software, and Cloud Services. Manage agreements that comply with company policies and risk tolerance. Respond promptly to legal requests from multi-functional stakeholders, summarizing and communicating legal concepts for Sales teams. Advise business/sales clients, as well as Finance and other company colleagues, on the legal issues and risks, approval processes, company policies and procedures, IP, and business strategy. Support the ongoing improvement of standard form agreements and legal processes for customer, reseller, and partnership agreements. Should have a JD degree or equivalent degree. Must have 4-6 years of attorney experience negotiating, drafting, and advising clients on technology-related commercial contracts, Cloud, or SaaS representing an enterprise business. Have demonstrated experience issue spotting for, and consulting with, cross-functional stakeholders, such as Finance, Order Management, Product Teams, Tax, etc. Be admitted to the bar and in good standing or otherwise authorized to practice law (e.g., have registered in-house status) in the state in which the role is located. Preferably have experience with cloud computing, software, and hardware, preferably as a bundled solution. Experience advising on data privacy matters and data security requirements is desired. A team player with a healthy sense of humor is a plus. Preferably have experience in both a startup and public company, as well as in integrating newly acquired companies within a go-to market contracting model, with the ability to issue spot and drive solutions.
