Corporate Counsel - Commercial Transactions The candidate will be the company's go to expert for commercial contracting matters. In partnership with internal business stakeholders, will be responsible for leading the legal review, drafting, and negotiation of a wide range of contracts and agreements with outside vendors and other third parties. Will also be responsible for building out commercial contracting processes, supervising a team of commercial paralegals, and managing and improving the company's contract management system. Be the company's go to expert for commercial contracting matters. Coordinate with other legal team experts as the quarterback to draft, review, and negotiate a wide variety of complex commercial agreements, including technology, hardware, services, cloud, consultant, license, manufacturing, and procurement agreements. Identify and evaluate business and legal risks in transactions, and find creative ways to mitigate them while achieving business goals. Create and improve agreement templates, trainings, processes, and other resources and ensure contract terms and conditions are consistent with internal policies and goals. Manage the company's contract management system and drive initiatives to continue process integration with the other business units. Supervise, mentor, and maximize the effectiveness of commercial paralegals to build an efficient commercial contracting review process for the company. Must have 7+ years of experience handling a broad range of commercial contracts. Should be admitted to and in good standing with a US State Bar. Must have extensive lead-attorney experience in negotiating and drafting contracts, with an eye towards both legal and financial/commercial issues.
