Corporate Counsel Duties: Advise commercial teams on shaping of the business opportunity, which can include collaboration agreements, distribution and SaaS agreements, partnerships and joint ventures with pharmaceutical manufacturers, insurance providers and hospital groups. Serve as the primary point of negotiation to advance and conclude contractual engagements. Such responsibilities would include managing the escalation process for key legal and commercial risks. Support reviews of marketing and sales collateral. Conduct timely and skilful legal research, and prepare briefings and memoranda for legal and business approvers, and other stakeholders on a range of legal matters. Support development and update of internal legal policies and trainings.
Requirements: Excellent academic credentials, including a JD Degree from a well-regarded law school. Admitted to at least one state bar in good standing, preferably Massachusetts. 5-7 years of experience practicing law. Substantial experience with business contracting, including experience as lead legal negotiator in technology and/or relevant complex commercial transactions. Previous experience in a law firm or in a fast-paced corporate legal group for an IT services or software vendor would be of assistance in performing this role. Experience in a pharmaceutical setting or working with a sales team also a plus.
