Corporate Counsel - M&a And Corporate Transactions

Corporate Counsel - M&A and Corporate Transactions The candidate will support mergers and acquisitions activity, strategic investments, and other corporate transactions by working closely with the corporate development team. Will draft and edit M&A documentation on tight deadlines. Handle small, less complex M&A deals largely independently, with some support from other internal corporate legal team members. Lead legal due diligence for M&A and other strategic transactions. Support post-closing integration related activities. Support financial transactions, including credit facilities, and intercompany transactions. Draft and negotiate corporate contracts including confidentiality agreements and engagement letters. Drive continuous legal process improvements in corporate transactions. Develop standard procedures, templates, and forms useful for guiding and serving clients in M&A matters. Establish and maintain strong and effective working relationships with other groups involved in the M&A and corporate transactions processes. Provide high-quality consultative services and support to internal clients by reviewing and resolving complex day-to-day issues involving corporate governance, compliance, contracts, and other relevant areas, and by promptly turning around high-quality work product. Coordinate with internal and external subject matter experts, including external counsel. The candidate should have a J.D. degree from an accredited law school with excellent academic credentials. Should be in good standing with Bar admission in at least one State Bar. Must have 3+ years of experience, including as a corporate associate in a top law firm and/or comparable in-house experience as an M&A attorney, with additional experience in general corporate matters. Experience leading due diligence for cross-border deals, familiarity with acquisition structures and earnouts, and ability to draft transaction documents for corporate transactions is required. Familiarity with US public company requirements relating to acquisitions is needed. Expertise building and maintaining strong working relationships with internal clients is essential.
