Corporate Counsel (Mid-Senior Level) Duties: Work alongside (and report to) the Managing Counsel - Corporate who currently provides corporate legal support to group functions (Acquisitions, Tax, Treasury and Finance), advises on investment and ownership structure and is responsible for managing corporate structure and around 140 entities worldwide. Collaborate with external counsel and company service providers in all parts of the world. Supporting the Managing Counsel - Corporate and the Group Acquisitions Team directly with managing and advising on acquisitions. Support the Group General Counsel from time to time with other corporate duties. Oversee and advice required on complex ownership structure, intercompany framework and financing arrangements. Advising on the legal framework of ERM's new Digital Services and Analytics business. Integration of new business acquisitions. Restructuring or rationalization of existing entities. New country entry and country exit. Supporting the Group's Share Scheme - equity offerings and buybacks. Capital restructurings. Corporate compliance and filings and maintaining company records. Assisting with tax and financial compliance and audit processes.

Qualifications: Law Degree (JD Degree) from an accredited institution and a license to practice law in at least one U.S. jurisdiction, together with 8+ years experience practising as an attorney with a large law firm and/or in a fast-paced corporate legal group for a multi-national enterprise. Ggeneral corporate and transactional experience operating at a senior level, and be interested in a role which spans not only transactional work but also corporate operational work in the context of a large global group. You can exhibit a depth of legal knowledge in the transactional space, including familiarity with specialised areas that arise frequently in transactions (e.g. corporate tax, employee benefits, employment matters, IP ownership, executive compensation, anti-trust and securities). Used to undertaking due diligence on an acquisition target and drawing sensible conclusions, looking to mitigate risk whilst taking into account operational realities. Familiar with the acquisition process and the drafting and negotiation of transactional and related contracts, and have played a lead role in managing an acquisition from start to finish. An excellent communicator with proven technical and organizational skills, with the ability to be open and candid whilst demonstrating respect for others and cultivating a culture of inclusion and trust. Accustomed to working under pressure to meet challenging deadlines, and be able to thrive in a fast-paced, complex and rapidly changing environment. Display excellent business judgment and strategic thinking, with a balanced commitment to process and continuous improvement and a demonstrated ability to earn the confidence of senior executives as a trusted advisor.
