Senior Corporate Counsel Duties: Provide legal advice primarily for the company s Powertrain and Clean Air business units in North America, providing practical, commercial advice on day-to-day matters and advising business leadership on multifaceted issues, including commercial matters, dispute resolution, and regulatory compliance. Provide overall legal advice relating to contracts (including negotiation and guidance on termination and transition rights, enforcement and disputes), supplier negotiations, customer negotiations, strategies, supplier and customer disputes (including distressed supplier issues), supplier quality matters, and contract risk mitigation. Draft and negotiate commercial contracts with customers, suppliers, and service providers. Identify and advise on legal and business risks associated with business opportunities, including compliance with applicable laws and regulations. Draft and negotiate confidentiality agreements. Support litigation and compliance matters. Provide training to purchasing, sales and marketing teams on a variety of legal topics. Assist with environmental, health & safety matters. Support corporate governance activities. Support real estate matters, including contract drafting and negotiations. Collaborative with external counsel and actively manage the legal budget for commercial matters. Qualifications: Degree from an accredited law school of recognized standing. Current membership in any state Bar, with a willingness to become licensed to practice in Michigan as needed. 5-8 years of legal experience in relevant areas, including, contracts, business transactions, litigation management, corporate governance, and other commercial matters with a mid-to large-size law firm or combination of practice with such a firm and in-house experience. Previous in-house legal department experience is preferred. Professional experience in the Automotive Sector a plus. Strong interpersonal skills, including the ability to establish effective working relationships with senior management. Excellent oral and written communication skills. Experience managing and completing complex projects in a demanding environment. Good negotiation skills. Strategic thinker with a focus on practical client advice and the ability to advise on legal risks within a business context. Hardworking, well organized and able to manage numerous projects simultaneously under deadline pressure. Commitment to professionalism and collegiality are required.
