Corporate Counsel Duties: Provide support to the senior members of the legal and capital markets teams in the review, negotiation and implementation of purchase and sale agreements, credit and security agreements, property management agreements, construction agreements, and real property development agreements, and other documents relating to single family residential portfolio Identification, analysis, assessment and reporting of key legal risk areas pertaining to real estate investment funds, including review and analysis of fund structures and drafting of related governing documentation and agreements Participate in corporate projects of a significant nature, including but not limited to, mergers and acquisitions,, major product development and regulatory matters, assessing legal impact and implications, recommending means for accomplishing desired legal objectives, and implementing decisions as required through necessary legal processes Participate in negotiating, drafting and reviewing legal documents and compliance requirements for such projects, including among other things, equity and debt finance, fund formation and governance, property acquisitions and dispositions, and, reporting to investors, creditors and bondholders Provides advice and counsel to ensure compliance with federal, state and local regulation Counsel managers on complex legal matters related to the company's compliance with securities, real property and other relevant laws Advise on general legal matters as appropriate. Participate on senior management teams, helping to issue spot and set the legal agenda.
Qualifications: JD Degree required; Bar membership required; licensed to practice in the state of Texas preferred. A Law Degree with 3+years in transactional, real estate, corporate and securities law at a highly regarded law firm, institutional asset manager, regulatory agency or financial services firm. Knowledge of the key legal issues in contracts of this type with an ability to advise sales and executive management on implications of contract terms. Attention to detail is critical; professionalism and customer-centricity are a must. Ability to work independently, exercise good judgment, and change direction or priorities on short notice. Intelligent, energetic and goal-oriented with the ability to juggle multiple tasks, while exercising sound judgment. A self-starter with the ability to follow through and complete tasks in a highly intellectual, collaborative environment. Well-organized and detail-oriented. Excellent oral and written communication skills. High competencies in strategic thinking and negotiation.
