Corporate Attorney Duties: Create and manage a process to streamline workflow, track contracts, and retain accurate contact records. Develop, assess, and negotiate contracts including nondisclosure, contractor, employment agreements, vendor agreements, copyrights, terms and conditions, and corporate documents for business units in multiple areas. Advise various internal departments regarding contract terms and implications on business operations and legal ramifications of contract terms. Structure, draft, and review reports and other legal documents. Ensure consistency of contract terms with company policies and goals. Evaluate and reduce company contract risk. Consult and handle all corporate legal processes (e.g., intellectual property, mergers & acquisitions, financial offerings, compliance issues, transactions, agreements, lawsuits, intellectual property/rights management). Develop policies ensuring that business practices and dealings of and its members meet applicable requirements. Provide legal guidance to business and technical departments, conduct research on legal matters, and draft and respond to demand letters. Guide managers to potential risks and issues of importance to ensure compliance with rules and regulations. Represent, related parties, and Members in legal proceedings (administrative boards, arbitration, court trials, etc.). Support Merger & Acquisition due diligence, risk identification, and mitigation. Support immigration program management and compliance. Assess eligibility of foreign national employees for nonimmigrant and immigrant visas and assist HR in employee setup for accurate payroll withholdings. Assist in the preparation and review of employment and severance agreements. Assist in identifying and assessing legal risks and opportunities within the labor and employment area and present researched advice. Assist finance department in research of corporate and personal tax planning, entity structuring, asset protection, succession, and estate and retirement planning.
Qualifications: JD from an accredited University. Must have 3+ years of corporate contracts and general corporate and partnership legal experience. Active Texas bar license. Understanding of intellectual property, labor, and immigration laws. Experience in state law, statutes, case law, and emerging tax law as it relates to S-corporations, partnerships, individuals, and trusts. Attention to detail and ability to multitask. Excellent written and verbal communication skills. Strong computer and technology skills. Highly organized, ability to meet deadlines.
