Corporate Counsel Responsibilities: Report directly to the General Counsel, and assist the same with their reporting to the CEO and Board of Directors as necessary. Provide prompt commercial, practical legal advice to company's various business lines to facilitate, improve and strengthen operational decision-making through integration of legal analysis as part of overall business processes. Assist with reviewing, negotiating, and drafting all company contracts, commercial agreements, and legal documents pertaining to clients, vendors, and employees. Collaborate with executives and employees on current and anticipated regulatory and compliance protocols at state and federal levels. Support human resources department on employee matters (e.g., employee agreements, consulting agreements, employee benefits, and other employment issues) as needed. Review and draft contracts, policies, and employee handbook as needed. Support business development on all commercial negotiations. Assist with negotiating, drafting, and revising company's management agreements, consulting agreements, construction management agreements, and lease audit agreements. Review, draft, and revise company's corporate level leases and related documents. Review, draft, and revise legal documents in support of company and client transactions (confidentiality agreements, non-disclosure agreements, subordination agreements, etc.). Collaborate with senior executives and outside counsel on all legal issues related to company's acquisitions and divestitures. Collaborate with company management teams to draft and review training materials. Qualifications: JD degree from ABA accredited law school. Member in good standing in at least one State Bar. 3+ years of combined legal experience in private practice from a well-respected law firm serving the residential real estate industry. Experience in the student housing industry is preferred. Significant contract negotiation and drafting experience is required. Self-motivated, enthusiastic, resourceful, and hardworking. Feels a sense of urgency and embraces success. Possesses the highest of ethical standards. Strong analytical and problem-solving skills. Strong interpersonal skills, including a direct, candid and concise communication style. Enjoys collaborating with colleagues to arrive at the best solutions for the company. Develops credibility to gain the confidence of professionals inside and outside the company.
