Corporate Counsel Responsibilities: Provide accurate, relevant and timely advice to Staff, including the sales and plan development teams, on a variety of legal topics that relate to the business sector and their products or services, particularly on ERISA and the U.S. Work with Staff to draft proposed communications (emails, white papers or memos) to plan sponsors or participants regarding changes in the law impacting retirement or health and welfare benefits. Consult with Staff regarding plan design for existing and new business. Consult with Staff in the event of employer or administrative or processing errors. Prepare and review all administrative forms, participant notices and disclosures. Work with IT and web development staff regarding legal notices, disclosures and electronic communications with plan participants. Draft, negotiate and modify service level, custodial and trust agreement templates, including the Health and Welfare division. Review of vendor contracts for new subcontractors. Draft or review of contracts controlling business ventures and new product development. Promote legal, compliance and risk management best practice. Manage and mitigate legal and compliance risks by designing and implementing policies and procedures. Communicate with and manage external counsel. In addition, serve as lead liaison with regulators on matters. Stay up-to-date with changes to laws, rules and regulations that directly affect, its business and the retirement and benefits industry. Provide written communications to Staff and ensure that processes and procedures are modified, if necessary, to address such changes. Conduct weekly meetings with the legal and compliance teams to identify issues and recommend policy involving plan administration, new product offerings and sales efforts. Design and deliver legal training, primarily via webinars, to Staff on relevant legal and compliance topics.
Qualifications: JD Degree. Good standing in applicable state bar. Experience working with the administration of retirement plans, health and welfare plans and the provision of ERISA fiduciary advice. In depth understanding of ERISA and the U.S. Tax Code. Excellent contract drafting and written communication skills. Personal Characteristics: Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. Strong negotiating skills with both legal and financial/commercial issues. Ability to establish and maintain strong relationships within the organization's legal department and across all businesses. Ability to work independently with little or no supervision.
