Associate Corporate Counsel Duties: Provides legal assistance to the in-house legal team. conduct legal research and analysis and assist in legal matters pertaining to public company reporting, corporate subsidiary maintenance and record-keeping, commercial contracting, strategic transactions and litigation support. Lead projects as directed by in-house corporate attorneys and act as a liaison among company attorneys, outside counsel and company employees. Assist in legal matters pertaining to SEC and other corporate regulatory compliance and filings, including assistance with preparation of proxy statement and Forms 10-Q/10-K periodic reports; support corporate secretary function with respect to governance and the Board. Assist in maintenance of global corporate subsidiaries and corporate organizational chart, including preparation of Board and shareholder resolutions and filing of company annual reports and other filings required to do business in various jurisdictions. Provide support for commercial legal matters, including review and preparation of non-disclosure agreements and other contracts, as the need arises. Manage contract change requests and coordinate the appropriate review with stakeholders. Conduct legal research and analysis. Maintain corporate records, including contracts, litigation materials and other legal documentation. Liaise between company attorneys, outside counsel and company employees. Communicate findings through meetings, presentations and/or detailed reports. Provide legal support for business objectives such as mergers, acquisitions, intellectual property holdings, and other business initiatives. Serve as project manager for various legal department initiatives (e.g. set meetings, keep minutes or track deliverables as required). Maintain knowledge and familiarity with the company's various products, services, organizational structure and business activities, including its relationships with customers, vendors, distributors, agents and advisors. Perform additional tasks as requested by the legal team and provide other legal advice and services as the legal needs of the organization arise.
Qualifications: JD Degree from an ABA accredited, prominent, national law school and member in good standing with a State Bar is required. 3-5 years of SEC and other corporate regulatory compliance and filings, including assistance with preparation of proxy statement and Forms 10-Q/10-K periodic reports. 3-5 years Professional legal experience in a recognized law firm with experience in legal research and analysis, corporate subsidiary maintenance and record-keeping, commercial contracting, strategic transactions and litigation support. Specific experience related to commercial legal matters, review and preparation of non-disclosure agreements and other contracts. Manage contract change requests and coordinate the appropriate review with internal and external stakeholders. Demonstrated written communication skills. Strong verbal communication and listening skills. Excellent organizational skills. Excellent collaboration and team building skills.
