Senior Corporate Counsel - Corporate Law / Governance / Equity Duties: Report directly to General Counsel, will assist with various corporate strategic initiatives. Provide key corporate governance support, including assisting with the preparation of Board and committee materials and meeting minutes. Provide legal advice in support of mergers and acquisitions (M&A) and other strategic transactions and draft, negotiate, and participate in the review of various transactional documents, with support from outside counsel as appropriate. Support corporate governance activities related to M&A and other strategic transactions. Prepare as necessary, employment agreement templates, separation agreements, non-compete agreements, and other employment-focused instruments for use across the globe. Research and advise on global equity matters to maintain and continue to develop our global equity program (including researching and responding to questions concerning equity awards and administration. Research, advise, and collaborate internally and/or externally on corporate law and other issues in multiple jurisdictions for our global subsidiaries and global operations around the world. Partner with key stakeholders with the administration, development, and implementation of company-wide policies and procedures and train employees and others. Manage relationships with outside counsel. Work collaboratively and responsively with a broad range of colleagues, cross-functionally and internationally, ensuring good relationships between Legal, Finance, Accounting, Tax, Business Development, Stock Administration, HR, Facilities, Operations, Marketing, and other teams to facilitate a coordinated team approach.

Qualifications: J.D. Degree or equivalent Degree. Admitted to practice in a U.S. Jurisdiction and in good standing or otherwise authorized to practice law (e.g., have registered in-house status). 5-10 years in a law firm and/or in-house. Experience advising clients on corporate governance issues, strategic transactions, and global equity matters. Proven track record of negotiating positive outcomes for clients, ability to work autonomously, and own their own process and outcomes. High-level intellectual, professional, and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills. Self-directed and proactive, comfortable executing on multiple projects independently and in collaboration with others. Organized, excellent communication and language skills, and great with people.
