Director, Corporate Counsel Responsibilities: Review, draft, redline, negotiate and approve a range of contracts and other documents typical for the life sciences industry, including NDAs, MTAs, MSAs, consulting, research, development manufacturing, clinical contract, clinical trial, and various other agreements of varying complexity as needed. Oversee and continue to improve in-house contract management process and contract templates across the organization. Advise contract specialist on the preparation, negotiation, and execution of more routine documents and agreements. Provide legal support in evaluating, advising on, and handling corporate securities and SEC reporting and compliance matters. Support VP, Legal and IP, on corporate legal matters relating to Board of Directors and related committees; maintain committee charters and other key governance documents; refine and manage corporate governance policies and procedures. Prepare materials for the Board and its Committees, including drafting minutes, policies, plan documents, and additional materials, and helping to ensure compliance with applicable corporate governance requirements. Draft and review potential future public company filings. Prepare and review the public market and securities-related legal and compliance matters; take lead on and collaborate with internal stakeholders on the preparation and filing of all SEC filings, including periodic and current reports, proxy statements, Section 16 reports, and confidential treatment requests. Collaborate with IT to provide legal guidance on data privacy, cybersecurity, and regulatory requirements in support of implementation and compliance with company policies. Stay current with evolving legal guidance and partner with key stakeholders to develop, implement, and maintain company policies and procedures to ensure compliance. Manage outside counsel resources in accordance with legal team needs. Other tasks and responsibilities as assigned by the VP, Legal Affairs.

Qualifications: 5+ years of recent relevant legal experience within one or more of the following areas: business development transactions, licensing and clinical contracting, corporate governance, SEC, and Nasdaq compliance. Ability to work effectively and collaboratively across all levels of the organization, including executive management. Excellent oral and written communications skills. Ability to influence without authority and present complex information to senior leaders. Adept at balancing risk and opportunity and providing clear guidance to colleagues across the organization. Strong project management skills and ability to handle multiple responsibilities simultaneously and still meet high quality and timeliness standards under pressure.
