Senior Corporate Counsel, Securities and Corporate Governance Duties: SEC reporting and compliance matters. Proxy statement and matters relating to annual stockholder meeting. Board of Director and Board Committee support, including preparation of materials, resolutions and minutes. Nasdaq listing/governance requirements. Broad-based equity compensation program support for global employee base. Insider trading compliance. Executive compensation matters. Registration statements and other securities and governance-related M&A support. Treasury support, including capital market transactions, credit facilities and and covenant compliance.

Qualifications: JD degree and membership in good standing of at least one U.S. state Bar. 6-12+ years combined law-firm and/or in-house counsel experience, preferably with a top-tier law firm and large multinational public company. Top credentials and references. Thorough knowledge of securities law and corporate governance matters. Extremely high attention to detail. Excellent interpersonal, organizational, strategic thinking, collaboration, and written and oral communication skills. Strong sense of ownership and accountability.
