Associate Director, Corporate Counsel Responsibilities: Provide full-service strategic legal advice regarding contracting matters (with limited oversight or guidance from managing attorney) to internal client functions, which may include G&A related business departments such as IT, procurement, finance, corporate travel, forecasting/data analytics, etc, each as necessary to support the needs of the business. Draft and negotiate a high-volume of specialized agreements, including confidentiality/non-disclosure agreements; vendor service agreements; license agreements; consultant service agreements; supply agreements, SAS agreements, etc. Interpret key contractual provisions in light of legal or regulatory requirements and advise internal clients on the ramifications of certain provisions, such as termination rights, dispute resolution process, liability limitations, indemnification obligations and protection of intellectual property. Work with Legal Department colleagues to develop, implement and communicate contracting best practices, standards and timelines to internal clients. Communicate the company's policies governing the review, approval, execution and management of company contracts, including the roles and responsibilities of all functions impacted by the process. Engage with client functional leadership about potential contractual arrangements. Lead the development of certain initiatives that strengthen and drive efficiencies for the Legal Department, its operations and the business operations of client functions through systems improvements, including oversight of the department contract lifecycle management system, creation, implementation and refinement of template agreements, forms, processes, procedures and develop and conduct trainings regarding contracting topics and processes. Participate as Legal Department representative on cross-functional teams focused on business process related improvements. Manage the Company's internal pre-clearance process for employee stock transactions, including liaising with outside captive broker on 10b-5 plans and APSS process. Manage, with managing counsel, the Legal Department's counsel related to real estate-related agreements, specifically for the company's Waltham sites of business. Develop and maintain expertise in applicable laws and regulations that impact the business, including import/export controls. Foster strong working relationships with internal clients, while balancing legal risks with legal necessities. Generate reports, presentations, memos and other documents for the Legal Department, internal clients and/or business leaders. Support other in-house attorneys or projects as needed.

Qualifications: JD Degree from an accredited law school with a license to practice law. 4+ years of experience with a life sciences company and/or with a law firm counseling life science company clients on the negotiation and drafting of agreements. Strong written and oral communication skills. Ability to draft concise and effective contractual documents. Familiarity with intellectual property issues and drafting contractual intellectual property provisions within agreements. Ability to work independently on complex projects as well as collaboratively with team members as needed. Proven track record of building relationships with cross-functional stakeholders internal and external. Effective cross-disciplinary oral and written communication skills with an ability to adapt style to communicate all levels within the organization. Eagerness to creatively engage the Legal Department, internal clients and/or business leaders to fully understand complex issues and articulate creative and practical solutions and alternatives. Self-motivated to adapt to new and changing professional circumstances, with the ability to quickly gain trust and credibility from team members. Ability to manage multiple priorities simultaneously and respond to rapidly shifting priorities in ambiguous or challenging situations. Flexibility and willingness to work on a broad variety of matters and provide substantive support for the company on an as-needed basis.
