Corporate Counsel - M&A Duties: Monitor and assist in the management of Tenable's legal affairs with assistance from outside counsel as needed. Partner with corporate development team, other cross-functional groups and legal and financial advisors on strategic transactions throughout all stages, including NDAs, deal structuring, term sheets and LOIs, negotiations, due diligence, drafting, signing/closing and post-deal integration. Support public market and securities-related legal and compliance matters, including collaborating with internal stakeholders, preparing and reviewing SEC filings and working on investor relations matters. Support global corporate governance compliance, including global subsidiary governance and expansion as needed, partnering with other members of the legal and cross-functional teams on intercompany agreements and compliance with applicable laws and regulations. Support corporate secretary function, including drafting corporate governance materials, resolutions, minutes, and other materials for meetings of the board and its committees. Stay current with evolving legal guidance on issues within the attorney's experience and expertise, e.g. M & A, public securities and corporate governance. Monitor progress of work being done by outside counsel including review of bills. Conduct legal research as needed and provide written analysis of results. Handle legal matters for Tenable officers and employees. Anticipate and be proactive regarding legal issues in Tenable's operations. Communicate legal issues with internal staff and outside counsel. Collaborate with Tenable legal team on miscellaneous legal matters as needed and cross-functional coordination with other specialists.

Qualifications: An energetic, forward-thinking and creative individual with high ethical standards and a strong desire to work in a dynamic environment. An effective communicator at all levels in the organization, with strong oral and written skills. Juris Doctorate (JD) from an accredited law school and active membership in good standing of the bar of any U.S. jurisdiction. Must have 3+ years of relevant experience within a top nationally recognized law firm and / or a publicly traded company. Significant experience required in M&A. Desired public securities and corporate governance experience. Experience working with public technology companies preferred. Team attitude that no job is too big or too small. Comfortable working in a fast-paced, high activity environment. Strong organizational and project management skills, including ability to manage numerous projects simultaneously under deadline pressure. Ability to effectively work with cross-functional teams and various levels of employees, including senior executives. Experience advising clients about legal risks, negotiation strategies, and proposed courses of action to mitigate risk. Excellent analytical and problem-solving skills, business acumen and judgment, strategic legal thinking, initiative, attention to detail and ability to work independently are a must. Ability to sit and work at a computer for extended periods of time.
