Senior Corporate Counsel Responsibilities: Drafting, editing and reviewing vendor contracts and advising business units of legal risks identified with these contracts as appropriate; reviewing and editing farm leases, purchase and sale agreements and title commitments; ensuring securities law compliance with respect to all aspects of the business, including with respect to private offering exemptions, review of sponsored offerings, reviews of marketing and advertising blogs, articles, investor relations communications; performing legal research and providing legal insight as appropriate; supervising the preparation and filing of required SEC and state blue sky filings; obtaining new brokerage licenses researching and ensuring compliance with local real estate rules and regulations drafting and reviewing templates for AcrePro brokers and agents working with the AcrePro Management Team on real estate acquisitions; As with any growing company, expect many other tasks and responsibilities to be assigned as well as growth opportunities to be seized.
Requirements: JD Degree. Admission to practice law in one or more states/jurisdictions in the United States. 7-10 years general transactional experience in a law firm, title company, or corporate legal department. Ability to implement creative solutions to the unique challenges encountered by our Farm Team when negotiating and drafting purchase and sale agreements, leases, and farm management agreements. Excellent verbal and written communication skills. High attention to detail and strong organizational skills. Resourceful research and analytical skills. Independence and self-starting attitude, as well as ability to be a good team player. Ability to manage and prioritize multiple projects and tasks. Passion for learning and professional/personal development. Proficiency in Microsoft Office, Google Suite. Good sense of humor. Preferred Qualifications: Experience with Asana, HubSpot, or related CRM applications. Securities law experience. Real estate law or title company and closing experience.
