Corporate Counsel The candidate will provide ongoing advice and support to the business principally related to commercial matters, including customer and supplier contracts, service engagements, distribution agreements, SOWs, etc. including the drafting, review, and negotiation of all manner of contracts. Monitor and administer contract review approval processes, policies, and contract playbooks. Manage compliance programs for government contract requirements, including managing government agency relationships and implementing corporate government contracting initiatives. Anticipate and drive solutions for a range of legal and business issues. Provide advice regarding customer and other commercial/business disputes. Partner with quality and compliance colleagues to ensure effective prevention, detection and remediation of violations of law, regulations and internal policies. Provide guidance on a range of legal, regulatory and compliance matters, including, government contracts, commercial antitrust, anti-bribery/FCPA, data privacy, and fair trade practices. Liaise with other relevant functions throughout the business, such as purchasing, accounting, sales and marketing. Support Practical Process Improvement (PPI) methodology and participate in initiatives as required. Educate and train employees on their obligations under the company Code of Conduct and legal parameters.
The candidate should have a Juris Doctorate required, and admission to a State Bar. Should have 2-3 years of commercial contracts and business legal experience. Mix of law firm and in-house experience and/or government contracting to experience a plus. Strong drafting and analytical skills. The customer-centric and solution-oriented approach in supporting both external and internal clients while protecting the best interest of the company. Ability to translate legal theory into applied business success. Negotiation abilities and business acumen. Ability to deliver strong results with limited resources, under tight deadlines and with a high degree of accuracy. Strong oral and written communication skills. Ability to maintain strict confidentiality of sensitive information. Team player capable of participating within cross-functional project teams to meet key milestones. Understanding of commercial and financial implications of business strategies. Project and process management capabilities and experience. Strong organizational skills and attention to detail with proven ability to handle multiple tasks efficiently and effectively. Strong interpersonal skills and effective communication and presentation styles. Strong work ethic with ability to work independently. Occasional travel required, within safety protocols.
