Senior Corporate Counsel The candidate will provide global legal support in various aspects of the business, including Corporate Governance, Real Estate, Customer Transactions and Procurement. Support the VP of Global Legal in providing competent and creative strategic legal guidance to anticipate and prevent problems and ensure legality of business plans, policies, and procedures. Confer with Counsel and other legal department members to discuss issues, coordinate activities and resolve problems. Review and provide counsel regarding terms and conditions for Requests for Quotations from current and prospective customers as well as other informal bidding opportunities for customers. Provide legal guidance to the company's operations and account management functions to assist in the resolution of contract issues and disputes. Become thoroughly familiar with the company's customer contracts, services, pricing models and systems. Create, draft and support contracts addenda and templates as needed. Partner with and educate internal customers, including Finance, Business Development, HR and other representatives of the company's business, on issues of legal impact and risk assessment. Support the purchasing and real estate organization with supplier contracts, property leases and associated negotiations from time to time. Negotiate directly with external customers from time to time. Collaborate with outside counsel and assist with litigation as needed. Other duties as assigned.
The candidate should have a Juris Doctor Degree from an ABA-accredited law school. Admission to at least one state bar; i.e., legally authorized to practice law. Should have 5+ years of practice experience, including in customer/vendor contracting, sourcing and or procurement contracting, US Real Estate leases and general US corporate secretarial matters. Experience working with GEMS for Corporate Governance is a plus. Experience structuring, drafting, analyzing and negotiating a wide range of sales & vendor contracts, including service agreements, master agreements & NDA's. Work well as a team member and build rapport and trust with both internal and external stakeholders. Strong ability to plan, organize and manage multiple projects/workloads within a fast-paced environment with quickly changing priorities. Computer literacy must be able to effectively employ technological tools, with a strong competency in Microsoft Word and Excel. Knowledge of the structure and content of the English language including the meaning and spelling of words, rules of composition, and grammar. Knowledge of accounting principles and practices.
