Associate General Counsel Global Equities Investment Banking Responsibilities: Working collaboratively with in-house and outside counsel, advises rapidly growing Investment Banking and Private Capital Solutions operations in the US, UK and Europe. Manages relationships with investment bankers, private equity firms, clients and potential clients, and outside counsel, as well as senior leadership, legal, compliance, financial, risk and human resources staff in the US, the UK and Europe. Assists in maintaining and negotiating engagement letters for mergers and acquisitions, private placements, primary private equity fund placements and general partner (GP)-led and limited partner (LP)-led secondaries, and other advisory assignments. Prepares and negotiates confidentiality agreements for potential engagements with clients, vendors and consultants. Provides support with respect to employment contracts and labor and employment. Advises on U.S. and cross-border regulatory matters, compliance policies and procedures, general corporate governance and legal entity management. Participates in various committees pertaining to our Investment Banking operations. Reviews and drafts other corporate agreements such as consulting agreements, inter-company agreements and fee sharing agreements. Supports acquisitions and other corporate development initiatives. Performs human resource management activities that include identifying performance problems, approving recommendations for remedial action, evaluating performance, and interviewing Legal department staff. Plans, assigns, monitors, reviews, evaluates the work of Legal department staff. Coaches and mentors others. Provides guidance and direction to Legal department staff by developing continuing education programs and career development opportunities. Interprets, applies and recommends changes to organizational policies and procedures. Reviews progress of assignments with Senior Management. Balances conflicting resource and priority demands. Manages all legal matters that involve the organization and its subsidiaries. Keeps management apprised of developments. Determines the allocation of legal reserves when applicable. Oversees the maintenance of case status reports, if applicable. Assists others in developing, preparing and presenting case theories and strategies. Provides advice, counsel and recommendations to Senior Management on corporate action. Prepares and delivers written and oral presentations to Senior Management on legal issues. Maintains currency in corporate and financial securities regulatory law. Performs other duties and responsibilities as assigned.
Qualifications: Juris Doctorate (J.D.) with excellent academic credentials. Current membership in a state Bar association. Must have 10 years of experience in mergers and acquisitions, transactional and corporate law at a top-tier law firm, and/or relevant in-house experience at a full-service investment bank. Experience in all levels of the judicial court system, or experience handling inquiries and investigations from authorities governing Self Regulating Organization (SRO) entities. Knowledge of broker-dealer/capital markets functions and cross-border experience preferred OR Any equivalent combination of experience, education, and/or training approved by Human Resources. Knowledge of advanced concepts, principles and practices of corporate and regulatory law and arbitration; Advanced investment concepts, practices and procedures used in the financial securities industry; Principles of banking and finance and securities industry operations; and Financial markets and products.
