Corporate Counsel - Digitech The candidate will review, draft and negotiate a wide variety of commercial agreements, including Revenue Cycle Management contracts for public entities, vendor agreements, subcontractor agreements, real estate leases, NDAs, consulting agreements, marketing agreements, IT and training agreements, and other legal documents as directed. Provide legal guidance on customer bids and request for proposals. Provide legal guidance to internal teams including sales, finance, marketing, IT, and operations. Lead compliance-related activity, such as in areas of HIPAA, Medicare/Medicaid, Anti-Corruption, Data Privacy/Security and record retention. Track and monitor trademark and other intellectual property matters. Assist with internal and external compliance audit activities. Manage corporate governance matters including maintaining state registrations. Manage contract disputes and litigation, along with managing and coordinating outside counsel. Advice on general legal matters as may arise on a day-to-day basis.
The candidate should have a Juris Doctorate (JD) degree from an ABA-accredited law school. Licensed to practice law in the State of New York. Should have 2 years of experience in the legal field. Experience with public sector law desired. Ability to clearly, concisely, and comprehensively draft complex concepts, provisions, and deal structures into contracts. Strong presentation skills ability to present legal concepts and conclusions to a wide variety of internal parties including management and the Board of Directors. Efficiently manage a large volume and variety of transactions, and negotiate numerous standard and complex corporate and commercial agreements while balancing appropriate legal and business risks. Ability to pivot between tasks and keep pace with changing business needs. Demonstrated ability to maintain the utmost level of discretion and confidentiality of sensitive and highly confidential information. Ability to collaborate cross-functionally (sales, marketing, IT, HR, finance, customer service, warehouse etc.) to achieve business objectives. Ability to independently represent the Company with external parties and affiliates. Strong analytical, research and problem-solving skills. Outstanding communication skills both written and verbal. Strong attention to detail and accuracy. Independently motivated and able to organize and prioritize short term and long-term tasks. Strong interpersonal skills and the ability to resolve conflicting interests and obtain cooperation. Intermediate to advanced level of proficiency in MS Teams, Outlook, Word, PowerPoint, and Excel. Able to define problems, collect data, establish facts and draw valid conclusions. Goal centered motivation; results driven. Desire to belong to a team and contribute to the success of the larger organization.
