General Counsel and Corporate Secretary The candidate will execute all job duties in alignment with core values, mission, and purpose. Partner with company leaders to offer proactive advice, seek to understand needs, educate, and inform on best practices. Minimize risk by overseeing compliance in regard to information security, intellectual property, and business contracts. Work closely with CEO and CFO to oversee equity-related processes related to capital raises. Support the administration of our stock option program, including compliance and distribution of stock options. Anticipate and address legal matters and develop resolution strategies. Review, interpret, draft and revise customer and vendor contracts. Manage policy creation and other contract language to ensure contracts are up-to-date and adhere to the applicable state and federal regulatory statutes. Plan and execute all Board of Director meetings and committee meetings to ensure strategic plans. This will include creating an agenda and taking meeting minutes. Perform other duties as assigned (to be less than 10% of your responsibilities).
The candidate should have a law degree from an accredited law school and admission to a State Bar. Should have 5+ years of experience in an in-house counsel role. Experience working in a high-growth company, Technology industry experience (preferred). Knowledge of commercial contract terms and conditions (required). In-depth understanding of various legal issues impact on a growth stage company. Exceptional negotiation skills with the ability to navigate complex situations. Strong attention to detail and solid organizational skills. Excellent written and verbal communication skills. Passion for supporting company growth by leveraging both a business and legal approach. Ability to translate complex legal matters. The ability to quickly pivot as needed while consistently delivering results on time .
