Corporate Counsel/Senior Corporate Counsel Duties: Partner with members of the sales, internal audit, product, marketing and human resources teams, and outside counsel to help ensure the company's compliance with laws, regulations, and compliance frameworks. Identify opportunities to assist in creating a culture of compliance through trainings, communications and processes. Play a key role in supporting SEC and stock exchange compliance and reporting obligations, including registration statements, 10-Qs/Ks, 8-Ks, proxy statements/annual meeting process, Section 16 filings, and disclosure committee activities. Partner with the business development, product, finance and other teams on negotiating and executing M&A transactions, strategic agreements, data license agreements and in-licensed technology. Provide legal support on capital markets transactions, financings, and ongoing compliance. Partner with marketing, finance and investor relations to review external communications, including press releases, investor presentations, the corporate web site, and social media announcements. Support HR/benefits team on equity plan and public-company executive compensation matters. Develop and revise policies and procedures to ensure compliance with SEC and other securities-related regulatory requirements applicable to publicly-traded companies. Identify, create and improve legal workflows, focusing on efficiency, scale and operational excellence. Support the design of cross-functional business processes that enable the Definitive Healthcare legal team to scale with the business.
Qualifications: JD degree, and licensed to practice law in Massachusetts, or eligible to register as in-house counsel in MA. 5+ years of broad-based public company, transactional and general corporate experience (combination of law firm and in-house practice, especially in high-growth, technology businesses preferred). Developed a sense of judgment, risk management skills, and ability to balance complex legal matters involving multiple stakeholders and various priorities; ability to balance regulatory obligations and reputational risks in an objective, practical way; demonstrated ability to grasp the big picture. Excellent oral and written communication skills, analytical skills and interpersonal skills and a proven ability to build and maintain stakeholder relationships at all levels. Ability to work well under pressure in a fast-paced environment; strong problem-solving skills and ability to manage multiple projects simultaneously. Ability to manage up as needed.
