Corporate Counsel Duties: Negotiate Various Agreements: Review, negotiate and draft a wide variety of agreements including master goods and services agreements, software licensing agreements and statements of work, in-bound license agreements, strategic partner, professional services, subcontractor, consulting and nondisclosure agreements Build the Infrastructure: Organize and build a library of templates and playbooks for use when contracting with vendors. Assist the General Counsel in building out our data privacy framework and take the lead in ensuring ongoing compliance. Assessing and mitigating risk across vendor base, ensuring regulatory and product liability compliance, and researching and managing other discrete matters as they arise.
Qualifications: Substantial experience drafting and negotiating complex inbound and outbound legal agreements, such as software and other licensing arrangements, including agreements for SaaS and other cloud-based services, hardware purchases and sale agreements, strategic partnership agreements, and other technology-related offerings. Experience negotiating and drafting agreements with strong attention to detail. Experience with data privacy compliance, including drafting and negotiating data privacy agreements. Ability to build and maintain trust with internal teams by providing support proactively and in the moment. Learning mindset, resourceful approach, and interest in understanding our business. The ability to communicate with a wide variety of audiences including sales, finance, and HR colleagues about complex legal situations using simple language.
