Corporate Counsel (SVB Capital) The candidate will advise on underlying investments, including debt investments, warrant and equity co-investments, inter-creditor arrangements and workouts/restructurings. Advice on fund financing matters, including capital call facilities, structured finance transactions, securitizations, and/or leverage facilities. Assist on fund formation matters, including fund structure, management company matters, limited partner negotiations, allocation practices, and applicable tax, regulatory and governance issues. Assist with ongoing governance and operational needs of the SVB Capital credit fund business, including interpretation of partnership agreements and side letters. Proactively collaborate with stakeholders across the enterprise, including compliance, finance, risk, and other key partners. Support other projects for the Legal department as necessary, as well as contribute to the development of the team's best-in-class practices.
The candidate should have 5+ years of experience (either in-house or law firm), with a minimum of two years of law firm experience focused on commercial lending. A J.D. from a top-tier school and excellent academic credentials. Active membership in good standing in at least one State Bar, preferably California or New York.
