Corporate Counsel, Corporate & Securities, Legal Candidate will work on corporate governance, proxy statements and annual meetings, shareholder proposals, SEC reporting, and other securities and corporate issues. Will work actively with internal clients in Accounting, Finance, and Tax, as well as senior executive team members. Will work directly with, and exercise judgment in advising, executives on complex matters.

Qualifications: JD Degree and membership in one state bar or equivalent. 7+ years of legal experience, to include 3+ years of experience at a law firm. 5+ years of experience as a corporate attorney. Strong experience in corporate governance (including Board and Committee support and Delaware corporate law), SEC reporting, proxy statements and annual meetings, and Section 16 reporting. Preferred Qualifications: Experience managing a large number and variety of mission-critical projects. Experience working independently and navigating ambiguous environments. Ability to work extended hours when necessary. Exceptional written and verbal communication skills. Experience working with paralegals, assistants, and business clients cooperatively and efficiently. Highest standards of ethics and professional integrity.
