Corporate Counsel - Puget Sound Responsibilities: Acts as primary internal legal counsel, advising on and assisting in the resolution of, disputes and claims, participating in legal or alternative dispute resolution proceedings, and managing outside counsel and/or other service providers as needed. Reviews, drafts, negotiates and manages complex consulting contracts and subcontracts, master service agreements, vendor and employment agreements, facility and equipment leases and other commercial agreements. Maintains professional registrations and certificates of authority and prepares and files reports with regulatory bodies. Leads, coaches, and directs contracts staff. Ensures team is proactive and responsive. Oversees employee selection, orientation, training and development, performance, compensation, and retention. Advises, negotiates, and leads GeoEngineers insurance program in consultation with executive team members and Board of Directors Finance Committee, including applicable policy types and coverage limits and response to claims made. Ensures timely response to subpoenas and represents the company appropriately in depositions. Provides guidance and training to staff in negotiating and interpreting client contracts and subcontracts and other business agreements such as contracts for support services, benefit plans, licenses, and leases to ensure contractual terms are appropriate and protective of GeoEngineers interests. Advises on and develops best practices for mergers and acquisitions, participating with the executive team in the development of letters of intent, due diligence, and deal documentation as necessary. Advises on and assists in the development and administration of joint venture agreements, new legal entities, and similar new business arrangements. Advises management on risks and best practices of proposed growth strategies involving new geographies, markets, services, and/or client sectors. Advises management and staff of applicable regulations related to the company's methods of business and employee ownership structure and maintains current knowledge and understanding of relevant laws and best practices. Assists in designing and administering company's regulatory compliance efforts applicable to its government contracting business subject to the Federal Acquisition Regulations (FAR). Advises executive team and Board of Directors on corporate governance matters, including revisions to shareholder agreements and other board-approved policies and programs. Develops risk management, contracts, and loss prevention training programs, continuously working to develop staff and improve functional processes. Creates and maintains documentation of company best practices. Oversees the company's enterprise risk management program and engages with the leadership team in administering the program.

Qualifications: Juris Doctorate degree from an accredited law school or equivalent and Bar membership in good standing. Active license to practice law in at least one state, preferably Washington. Should have 5+ years experience as in-house counsel for consulting engineering firms or law firms with relevant practice areas, including cross-functional experience drafting, interpreting, and negotiating legal agreements and resolving and litigating claims and controversies involving professional services firms. Previous experience in a managerial or supervisory role is strongly preferred. Strong research, analytical, and negotiating skills. Outstanding interpersonal, written, and verbal communication/presentation skills with the capability to effectively advise and develop productive working relationships with individuals at all levels of responsibility. Ability to establish a strong rapport and professional credibility to influence at all levels of the organization.
