Corporate Counsel DUTIES: Work closely with the Associate General Counsel to provide legal support and assistance across a broad range of functional areas within the organization including our business development, customer, alliance management, technical operations, regulatory, and people teams. Independently draft and negotiate (and oversee outside counsel, as applicable, on) a variety of agreements (MSAs, collaboration agreements, license agreements, procurement agreements, etc.) with our partners, customers, distributors, suppliers, and vendors. Review communication materials, including press releases, social media posts, and our company website. Support compliance with SEC rules and regulations, including review of 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and proxy statement and registration statement filings. Execute and manage multiple deals and other projects simultaneously and participate as Legal Team representative on various cross-functional teams. Develop and maintain expertise in applicable laws and regulations that impact the business and foster strong working relationships with internal business partners, while balancing legal risks with legal necessities. Support other Legal Team members on projects and manage outside counsel as needed.

QUALIFICATIONS: Must have a J.D. degree from an accredited law school with a license to practice law in Massachusetts or any other US state. 4+ years of experience, preferably with a law firm counseling life sciences company clients and/or in-house experience at a life sciences company. Strong written and oral communication skills and can draft concise and effective contractual documents. Can work independently on complex projects as well as collaboratively with team members as needed. Have an eagerness to creatively engage the Legal Team, internal clients, and/or business leaders to fully understand complex issues and articulate creative and practical legal advice, solutions, and alternatives. Self-motivated to adapt to new and changing circumstances, and can quickly gain trust and credibility from team members. Can manage multiple priorities simultaneously and respond to rapidly shifting priorities in ambiguous or challenging situations. Have flexibility and willingness to work on a broad variety of matters and provide substantive support for the company on an as-needed basis. Can participate and work effectively on multiple cross-functional teams. Understanding relationships are key and have strong interpersonal skills. A team player who is willing to roll up your sleeves and get the job done.
