Corporate Counsel The candidate will be reviewing, drafting, structuring, and negotiating a variety of complex commercial and procurement agreements, including inbound and outbound technology licenses, master services agreements, subscription agreements (including SaaS), marketing agreements, and OEM/procurement agreements. Partnering with internal clients to facilitate efficient and accurate contract review, providing practical, actionable advice to overcome challenges. Advising and assisting internal stakeholders in the development and maintenance of standard contract terms and templates on a project-by-project basis. Conducting training and education on approved contracting processes and best practices. Ensuring all contracts align with the company's policies and risk tolerances.

The candidate should have a BA/BS and JD degree. A lawyer qualified to practice in at least one U.S. state. Should have 8+ years of experience in-house, law firm or a mix of the two. Significant experience and confidence in negotiating complex agreements. Professional maturity to take ownership of various assignments with limited supervision. Flexibility and willingness to work on a broad variety of contracts and related matters. Exceptional attitude, strong work ethic, and the ability to work well in a team environment. Sense of humor and commitment to professionalism. Strong written and verbal communication skills. Advanced PC skills required with expertise in MS Word, Excel, and PowerPoint. DocuSign, SharePoint, and Salesforce.com experience is a plus. Willingness to learn database management tools. Able to handle high-stress situations in a professional, business-like manner. Ability to thrive in a high-paced, changing work environment. Willingness to travel occasionally. Have excellent interpersonal and customer service skills. Able to effectively present information to groups of managers, clients, and customers (both internally and externally). Attention to detail, accuracy, and good follow-through skills necessary.
