Corporate Counsel The candidate will draft and negotiate a wide variety of commercial contracts, including agreements relating to hardware sales and subscription, technology licensing, marketing, professional services, and direct and indirect distribution. Collaborate with the company's sales, channel, and customer success teams regarding negotiation strategy, company policies and procedures, and approval processes. Respond promptly to requests for legal advice from internal clients, summarizing and communicating legal concepts that business people can use. Advise management and other internal clients regarding legal and business issues, including identifying, managing, and communicating risks and opportunities associated with specific agreements and business objectives and initiatives. Contribute to ongoing process improvement and problem-solving by the legal department. Handle other various legal and ad hoc projects as necessary. Should have a Juris Doctorate (J.D.) degree from an accredited U.S. Law School. Active admission to a State Bar. Should have 3+ years of relevant legal experience drafting and negotiating a wide range of commercial contracts, with strong attention to detail. In-house experience preferred. Ability to understand complex contractual issues, assess risk, and provide concise business-focused legal advice. Strong organizational skills and the ability to prioritize and manage several simultaneous projects with tight deadlines. Ability to operate with minimal supervision. Excellent interpersonal skills, business judgment, strategic thinking, and superior work ethic. Highest integrity and ethical standards. Experience negotiating data privacy and data security agreements, or government contracting is a plus. Ability to work in team settings; common sense and a good sense of humor are required.
