Associate General Counsel and Assistant Corporate Secretary The candidate owns and drafts the annual proxy statement, which includes coordinating with internal stakeholders, working with outside counsel, external consultants and vendors, and responding to shareholder proposals. Organizes and prepares senior leadership for annual shareholders meeting. Organizes and prepares for semi-annual engagements with largest investors. Advises on corporate governance matters, which includes monitoring best practices and proxy advisory and institutional investor voting policies, and ensuring compliance with NYSE and SEC governance-related rules, including related person transactions. Advises senior leadership on and supports the administration of compensation matters relating to directors and executive officers, which includes managing Section 16 onboarding, offboarding and reporting, and managing the director compensation process. Manages annual director and executive officer questionnaires as well as the independence and financial literacy/expertise determinations. Prepares select materials for governance and compensation committee meetings, and helps to draft minutes for those committees meetings. Oversees the administration of legal entity management system, and develops and implements corporate governance policies for subsidiaries. Leads and mentors a three-person team of experienced paraprofessionals.

The candidate should have a J.D. degree and are a member in good standing of the New York bar or qualified for admission in New York as in-house counsel. Should have 6+ years of major law firm experience (or a combination of law firm and in-house experience) with a concentration on the proxy-related securities laws, director/executive officer compensation, and corporate governance. Top academic credentials. Excellent written, verbal and presentation skills. A leader who collaborates effectively with colleagues at all levels of the Company and across different functions to drive optimal outcomes. A leader who can change the thinking of, or gain acceptance from, others, without damaging relationships. A leader who can communicate with candor and emotional intelligence. The ability to work well under pressure, with demonstrated time and change management skills, and the ability to handle multiple priorities in a dynamic environment.
