Legal Corporate Counsel/Senior Contracts Professional The candidate will structure, draft, review and negotiate a broad range of agreements, ranging from complex technology agreements, various forms of software licenses, hardware, support and maintenance, professional services contracts, and non-disclosure agreements. Advise on all legal matters and associated risks, working closely with Sales, Commercial, Services, Product Line Management and Finance teams. Ensure all agreements and document reviews are in compliance with our corporate policies and corporate governance documents. Provide legal, risk and regulatory analysis in connection with entry into new geographies and/or new markets required by key GCN customers. Manage internal communications, facilitate escalations and approvals, and address queries with customers and internal stakeholders. Participate in strategic projects and continuous improvement initiatives for the Legal Department and GCN region as required. Participate in knowledge sharing and project-related activities driving efficiency and velocity through contracting processes. Provide training and awareness for employees in the GCN region on compliance-related matters as appropriate. The candidate should have a bachelor's degree (or equivalent, preferably in business or another relevant discipline). Law degree such as JD or LLB from an accredited law school. Substantial experience in reviewing, drafting, managing and negotiating a wide variety of commercial contracts, with a strong emphasis on master agreements for hardware, software and services, technology agreements, software licensing agreements, and professional services/project implementation agreements. Solid understanding of legal concepts and contractual terms with excellent organizational skills and attention to detail. A perceptive and collaborative negotiator with strong influencing skills that can plan, manage, and conduct negotiations with customers that are generally significantly larger than Ciena. Must have excellent oral and written communication and interpersonal skills and a strong sense of teamwork. Must possess excellent judgment and be able to work independently and manage multiple priorities, in a fast-paced high-growth environment. Strong leadership skills, with the highest degree of personal and professional integrity and ethics.
