Corporate Counsel Duties: Negotiate, draft, and finalize agreements and contracts, including vendor agreements, NDAs, and software agreements. Advise on contract issues, legal risks, and the legal liabilities associated with the various agreements and contracts consistent with the organization's risk tolerances. Draft new, and update existing, contract forms. Identify and obtain required state registrations and licenses for the organization's various entities and activities. Advise and assist various departments and divisions with regulatory compliance, including general corporate issues, corporate structuring, and data privacy. Work with personnel across departments on insurance processes and management for all forms of insurance held by the company. Assist with managing leasing matters (both as landlord and tenant), and legal issues arising from real estate to be acquired, real estate currently owned and leased properties. Managing negotiation and drafting of various real estate-related agreements and documents, such as estoppel agreements and SNDAs. Identify, engage and manage outside counsel to assist with various legal matters. Keep current with developments in the law. Review pending and upcoming changes to regulations and laws to ensure the company is prepared for future compliance requirements. Develop and communicate impact summaries of future changes. Provide training to the organization on legal topics.

Requirements: Licensed to practice law in at least one state. 5-9 years of legal experience handling a broad range of corporate legal matters. 3+ years of in-depth legal experience. Proficiency in the use of MS Office products. Experience as in-house counsel with a privately-owned, closely-held organization or regulated financial institution is preferred. Licensed to practice law in Texas, and Delaware is helpful. Strong understanding of core business concepts and risk management. Sound legal and business judgment and excellent analytical skills. Ability to work independently and be resourceful to problem solve in areas of limited experience. Ability to communicate with strong credibility using excellent written and verbal communication skills. Skilled at negotiation with customers and vendors. Ability to build trust and confidence with all lines of business. Possesses high integrity, honesty, and trustworthiness. High energy and sufficiently flexible to be able to execute in a fast-paced, diverse environment. Ability to manage and prioritize multiple projects. Excellent time management, prioritization, and organizational skills. Commitment to detail and accuracy.
