Corporate Counsel I The candidate will review, draft and negotiate a broad range of standard and non-standard agreements, pleadings and other documents in support of business needs and initiatives, including client service agreements (letters of engagement, master services agreements, and client-furnished documents), vendor agreements, referral and business development consultant agreements, marketing agreements, technology agreements, data privacy agreements, leases, and court declarations. Prepare engagement agreements, retention applications, account documents, and fee applications and attend hearings as requested. Assist with the development and administration of policies and procedures. Apprise executive management of legal, compliance and risk issues related to general business matters, and provide practical, responsive advice to facilitate a timely resolution. Counsel colleagues on risks, both legal and otherwise, associated with client engagements and relationships, building trust and a positive working relationship. Provide case support on risk management matters. Assist with various other projects, as requested.

The candidate should have a J.D. and active NY Bar membership. Should have 2+ years of corporate/transactional / litigation legal experience; class action experience preferred. Proficiency in Microsoft Office applications. Strong communication skills (oral and written). Drafting/negotiating skills and experience, including the ability to work with form contracts and procurement agreements; effectively address and resolve legal risk issues, including indemnification, liability - limitation, privacy, data protection and information security; ability to successfully handle multiple matters at once, effectively prioritizing issue escalation and resolution; confidence in negotiating with sophisticated counterparties to achieve timely, successful outcomes; and ability to articulate and defend company positions in an effective manner, prepare clear and efficient redlines, and bring agreements to closure.
