Corporate Counsel - Business Transactions Duties: Prepare, review and/or negotiate customer and vendor contracts, confidentiality agreements, service agreements, consignment agreements, warehouse agreements, atypical agreements, etc. Counsel and advise managers of legal and business risks related to contractual relationships. Develop and update contract templates. General business counseling and advisory services. Corporate housekeeping matters, including preparing minutes of board and shareholder meetings, resolutions, and advice on corporate governance related matters. Provide legal counsel on issues arising from potential or anticipated commercial and employment related lawsuits. Interface with outside counsel and manage dispute resolution. Analyze risk and advise other departments on possible outcomes. Work with company management to ascertain business goals related to litigation. Work with HR department regarding potential employment related claims. Assist Regulatory Compliance Officer with all compliance issues, including US customs, export trade and other matters.
Qualifications: JD. 8-10 years of experience as an attorney, including 4+ years law firm experience. Strong experience working on complex business transactions, including investments and joint ventures. Ability to prioritize, multi-task, and work effectively both independently and as part of a team. Experience with MS Office.
