# Senior Corporate Counsel - USA Exyte is looking for a Senior Corporate Counsel - USA to join their team and provide legal advice and guidance to all levels of management. The Senior Corporate Counsel - USA will be responsible for interpreting, defending, and enforcing handbook, agreements, etc. and managing legal and other documents affecting the Company's day-to-day operations. ## Responsibilities * Providing support to the General Counsel - USA on matters affecting business, including corporate risks * Drafting, reviewing, and revising legal and other documents affecting the Company's day-to-day operations, including, design, construction and EPC agreements, labor agreements, subcontract agreements, vendor agreements, jobsite work rules, and EHS processes and procedures * Providing legal advice and guidance to business line and functional management on matters affecting business; acting as trusted business partner to management * Overseeing the corporate books including by-laws, shareholder and buy/sell agreements, and shareholder records * Managing the resolution of claims by clients, subcontractors and other third parties working with insurers and when appropriate, outside counsel * Providing guidance on corporate governance, ethics, Code of Conduct, policy guidelines, leases, insurance, organizational structure, and collection matters * Counseling Senior Management regarding corporate risks, and supporting the company's risk management program * Working closely with Human Resources, Compliance and other departments to interpret, defend, and enforce handbooks, agreements, etc. * Reviewing corporate policies and procedures, making recommendations to management team * Managing and handling domestic employment, litigation and claim matters * Investigating, responding to and advising on NLRB, OSHA, EEOC, ERA Section 211, DOL, WARN, FLSA and other state, federal and other government administrative actions * Managing ERISA issues concerning multi-employer defined benefit plans and welfare benefit plans * Involvement in environmental and intellectual property matters and other types of commercial and non-commercial legal issues * Assisting with the Company's mergers and acquisitions * Managing assigned projects to completion ## Requirements * Knowledge of construction law * Superior written and verbal communication skills, including all aspects of legal writing technique and procedure, and the ability to convey complex legal concepts to non-lawyers * Ability to work independently and with minimal supervision * Ability to effectively communicate with Regional and Corporate Management * Bachelor's degree in Architecture, Engineering or Construction Management preferred * JD or equivalent * Must be licensed and in good standing in * 7+ years of experience * Prior experience working in a law firm and in house preferred ## Salary The salary for the Senior Corporate Counsel - USA position is competitive and commensurate with experience.
